Board member Karin Chavis asked for a roll call vote. Chairman Carberry said before the roll call, he had some comments.

Chairman Carberry asked if the Board counsel had any comments. Attorney Sacco stated he expressed his opinions on two
separate occasions to the Board in respect to the application and option selection. He stated that the language in the DRO is
sufficiently ambiguous. Attorney Sacco stated he has expressed his concerns and is limited to what he can discuss in open
session and ultimately, he can only offer advice to the Board.

Chairman Carberry stated the Board had made a request regarding the agreement Andrew Flanagan has in place. The
Retirement Coordinator stated the Certificate of Appointment from the State of New Hampshire naming Andrew Flanagan
as Trustee. Chairman Carberry went on to make 3 points:
1. Andrew Flanagan was silent in participation at the last meeting and questioned if Andrew Flanagan agreed with the
vote last month?
2. He is unsure if the document provided gives Andrew the authority to act in this matter?
3. The Domestic Relation Order is between two sides. He questioned the situation of the nursing home that Mrs.
Flanagan is in and if the State of New Hampshire have any role in current or future use of Medicaid?

He further stated that we asked Mr. Flanagan’s counsel to get a court order to make this request clear and we still do not
have answers to these questions. He further stated he believes a vote in favor is putting the Board at risk.
